Vice President, Legal

Aerium is a preclinical stage biopharmaceutical company that recently launched with strong backing from Omega Funds and F-Prime Capital. We are building a pipeline of biologics and small molecule antivirals focused on protecting the world against current and future pandemic and epidemic threats.

Our fully integrated discovery platform leverages a broad network of international collaborations and established research infrastructures at leading European institutions. We are led by Rajeev Venkayya, M.D., former head of Takeda’s Global Vaccine Business Unit, and have a leadership team, Board of Directors, and Scientific Advisory Board with deep experience in the field.

Position Summary:

This new role is an exciting opportunity to be an important part of a growing team. The Vice President, Legal will be the first attorney at Aerium and will be responsible for providing pragmatic, business‐minded legal advice and solutions across the business. This position will initially report to the CEO in Boston, MA.

Responsibilities:

Key responsibilities of the role include, but are not limited to:

  • Provide legal advice, counsel, and support to the business on a broad range of matters, including corporate governance, securities, employment law and employee benefits, business development, real estate and contract matters.
  • Provide advice and guidance to the Finance and Human Resources teams on equity issuances and other related matters.
  • Assist with materials for the Board of Directors and its committees, including drafting resolutions and minutes.
  • Build strong cross‐functional relationships with colleagues across functions to create efficient and effective processes.
  • Identify and analyze global legal, business and reputational risks to the company and consult with the management team to develop appropriate solutions.
  • Draft and negotiate a wide variety of agreements, including financing and partnering term sheets and agreements, employment agreements, consulting agreements, master services agreements, and licenses.
  • Advise and lead on equity and debt financings.
  • Conduct internal investigations, manage any employment litigation, and provide general litigation support.
  • Advise management team on cross-border and intellectual property legal issues.
  • Manage and work effectively with outside counsel wherever needed.
  • Contribute to cultivating a company culture that reflects a strong commitment to Aerium values.
  • Perform other duties as assigned.

Key Qualifications:

  • JD degree from an ABA-accredited law school, excellent academic credentials, and a member of the Massachusetts bar in good standing required.
  • Minimum of 8-10 years of prior legal experience (preferably corporate governance or transactional experience).
  • Excellent written and verbal communication skills, including the ability to communicate concisely to clients and senior management, integrate legal and business knowledge, and provide clear and balanced advice regarding risks.
  • Results-driven and customer service focused.
  • Capable of working independently and able to understand and incorporate legal guidance into work product.
  • Must have high integrity, ability to assess risk, and ability to make decisions and think strategically while applying knowledge of applicable legal issues.
  • Strong negotiation skills, ability to network across functions.
  • Ability to work across multiple time zones, cultures, and offices.
  • Ability to collaborate and problem solve with a positive, can-do attitude and to be discreet with confidential information.
  • Professional manner with strong interpersonal skills.
